License Agreement

By logging-in you accept the terms and conditions of the following license agreement (the "Agreement"):

This is a legal agreement between you and Land O’Lakes, Inc. and/or its subsidiaries and affiliates (hereinafter collectively referred to as "LOL"). The term Content is defined as any images, logos, designs, illustrations and photographs, included in the Digital Asset Management (DAM) Site (the "Site"). By using Content, you agree to be bound by this Agreement. If you do not agree, promptly discontinue use of this Site and/or any Content. All Content is licensed to or owned by LOL and is protected by trademark, copyright and all other applicable laws. This Agreement can be terminated by LOL at any time. Neither LOL nor its licensors shall be liable to you for any claims, costs, losses, or consequential, incidental, direct, indirect or other damages arising out of your use of the Content, including any claim of a third party.

Your right of usage of the content is non-exclusive, non-transferable and only for the benefit of LOL, in whole or in part for creative materials for the benefit of LOL. You shall use images only as obtained from this Site and shall not alter or modify any Content unless permitted by LOL in writing. All materials created that use or incorporate the Content shall be reviewed and approved by LOL prior to use. Examples of use include: advertisements, articles in magazines and newspapers, reports, brochures, books, newsletters, multimedia applications and presentations, packaging, broadcast, films, documentaries, television productions, commercials, premiums and training and industrial videos. Content may be used as part of a web site or design that appears on a web site on the internet but may not be used in a downloadable or FTP format.

Content may not be modified, copied, rented, sold, given away, leased, sub-licensed, loaned or transferred to any third party in any form. Additionally, you agree to take all steps necessary to prevent any third party from duplicating or distributing any Content. Usage of images that are, in LOL’s sole discretion, defamatory, offensive, pornographic, generally defamation of character, or otherwise unlawful uses of images are expressly prohibited. The use of Content in whole or in part without written permission for multiple resale in the form of stock proofs, engravings, film, mats, printing, digitized images, etc. is expressly denied.

All equipment accessing Content must be at one physical location and be operating under one organization. This Agreement will terminate automatically if you fail to comply with any provision of this Agreement. Upon termination, you shall immediately destroy all Content or copies thereof in your possession. If any provision of this Agreement is held invalid, the remainder of the Agreement shall remain in full force and effect.

All rights not specifically granted to you by this Agreement are reserved. Questions regarding usage or rights should be directed to Land O’Lakes, Inc. This Agreement shall be governed by the laws of the State of Minnesota.
